Terms and Conditions for Clients
1.1. Introduction and Scope
Welcome to LingoSales. These Terms and Conditions govern your access to and use of our network platform. By creating an account, posting a campaign, or hiring an interpreter through our network, you (the 'Client') agree to these terms in full. LingoSales operates as a marketplace platform connecting small businesses with independent, professional bilingual closers and interpreters.
2.2. Nature of the Platform
LingoSales provides the infrastructure, network matchmaking, and payment processing tools for localized community marketing and sales campaigns. We do not employ the interpreters. Interpreters are independent contractors. The Client is solely responsible for defining the specific scope, script guidelines, and performance expectations of their marketing campaigns.
3.3. Compliance and Localized Marketing Content
The Client is entirely responsible for the legality, ethics, and accuracy of the sales and marketing scripts provided to interpreters. You agree not to use the LingoSales network to target vulnerable communities with deceptive, predatory, or unlawful marketing practices. All campaigns must strictly comply with UK consumer protection regulations and the relevant local laws of the communities targeted.
4.4. Independent Contractor Relationship
Hiring an interpreter through LingoSales creates a direct independent contractor relationship between the Client and the interpreter. LingoSales is not a party to that direct engagement beyond facilitating the platform connection. The Client is responsible for ensuring they do not treat network interpreters as legal employees under UK or local tax laws.
5.5. Financial Terms, Deposits, and Payouts
All campaign budget commitments, network fees, and interpreter payout allocations must be processed strictly through the LingoSales platform. Attempting to bypass the platform to pay network interpreters directly constitutes a material breach of these terms and will result in immediate account termination. Platform fees and campaign deposits are non-refundable once an interpreter has commenced active work on a campaign.
6.6. Data Protection and Community Privacy
In processing lead lists, customer phone numbers, or community data for marketing campaigns, the Client guarantees full compliance with the UK GDPR and Data Protection Act 2018. You must ensure you have a valid legal basis (such as explicit consent) to market to the individuals on your lists. LingoSales is not liable for data breaches resulting from lists uploaded by the Client.
7.7. Intellectual Property and Work Product
Unless explicitly agreed upon in writing before a campaign begins, any localized marketing materials, custom translation glossaries, or sales call recordings generated during the campaign remain the intellectual property of the Client. However, LingoSales retains the right to use aggregated, anonymized campaign performance data to improve our network matching algorithms.
8.8. Platform Availability and Interruptions
While we strive to maintain high network uptime and immediate matching, LingoSales does not guarantee continuous, uninterrupted access to the platform or the immediate availability of specific language specialists during peak marketing windows.
9.9. Limitation of Liability
To the maximum extent permitted by law, LingoSales shall not be liable for any direct, indirect, or consequential damages resulting from an interpreter's performance, campaign financial losses, regulatory fines incurred due to your scripts, or the ultimate conversion rate of your localized marketing efforts.
10.10. Governing Law
These terms are governed by and construed in accordance with the laws of the United Kingdom. Any legal disputes or claims arising out of the use of the LingoSales platform will be subject to the exclusive jurisdiction of the courts of England and Wales.
